PROCEDURES:
1. Buyer issues and delivers a fully executed RWAD/LOI, duly signed, along with the required documents; CIS, IMFPA, Colour Passport copy and Corporate Resolution.
2. Seller will countersign the RWA/LOI, and by doing so it becomes a valid contract and Seller will send it to the Buyer along with a Sellers Passport and copy of the Title Page showing the Seller as Beneficial Owner and the Corporate Invoice to the Buyers e-mail: xxxx and Fax: xxxx. The invoice shall contain; ISIN Numbers, CUSIP numbers, registration numbers, denominations, text of instruments, color copy of instrument(s), names of issuing bank, dates of issue and maturity, custodial safekeeping receipt numbers, Relevant screening and access codes required to screen, authenticate and verify the Instruments guarantee of delivery upon payment, full bonding power and all relevant information necessary to authenticate and verify the issuing and custodial banks including bank officer's name and contact number(s) and also Note: The Screen shall not contain the Price. The words 'Private Sale' shall be entered instead of the Invoice Price on the Corporate Invoice.
3. Upon completion of Authentication and Verification of the Corporate Invoice, the Buyer shall close under Standard EUROCLEAR closing procedures - Screen, Block and Pay (SBP), within 4 banking Business hours.
4. Buyer shall pay the various components agreed to and specified in the Invoice.
5. Seller's Bank delivers the Hard Copies of the Instrument(s) to the Buyer at their direction, via Bank Bonded Courier, within Seven (7) International Banking Days after the Euroclear Closing Procedure is completed.
6. Transaction and Settlement will continue according to the above-noted procedures and the pre-agreed tranche schedule, until contracted collateral instrument are fully delivered
